User Generated Content Authorization & Release and Terms of Use

For any content provided by you to NULASTIN:

I hereby give NULASTIN® and its representatives, assigns, employees, affiliates, agents and any person, corporation, or entity acting under their permission or authority or for whom they might be acting,  including anyone distributing or disseminating advertising for the product known as NULASTIN® (the  “Product”) (collectively the foregoing are referred to as “Producers”), the right and permission to publish, reproduce, distribute, broadcast and/or otherwise use: 

(i) my name, likeness, voice and biographical information as provided by me (“Personal Information”), 

(ii) any still or moving photographic image, silhouette or sound recording of me, including script development and creation (the “Performance”), and 

(iii) any statement or endorsement (including any letter or photograph), or any portions  thereof (the “Testimonial”), made by me regarding or related to the  Product or NULASTIN, 

in such manner, in any medium now known or later developed, worldwide in perpetuity, for such  purposes, in whole or in part, as they shall determine in their sole discretion without further  compensation or consideration to me and without further authorization by me. I disclaim any interest  in the Performance and/or Testimonial and further acknowledge that NULASTIN shall constitute the sole  property of any one or all of the Producers, as the Producers shall decide amongst themselves. 

I also affirm (1) that any statements or endorsement made by me in the Performance and/or  Testimonial are factually accurate and represent my honest opinions, findings, beliefs, or  experiences, and (2) that I was not compensated in exchange for my endorsement but I may have  received a nominal, if any, reimbursement for my time and expenses. I hereby waive all rights of ownership,  inspection or approval with regard to any recording, taping, broadcast, reproduction, proposed  printed, audio or video publication and/or other use of my name, the Performance and the  

Testimonial. I also hereby release, discharge and agree to hold harmless the Producers from and  against any and all liability, including, without limitation, claims for invasion of privacy or publicity,  defamation or copyright infringement, resulting from their use of my Personal Information, the  Performance, and the Testimonial. I agree that my use of the Product is voluntary and I assume  complete responsibility for my actions in connection therewith. 

I hereby warrant that I am over eighteen years of age, and competent to contract in my own name. I  have read this authorization and release and warrant that I fully understand the contents thereof. 

For any posts by You on any digital media platforms using NULASTIN assets:

As between me and NULASTIN, I own all content and information I post or share using NULASTIN brand assets (the “Assets”) or tagging NULASTIN, such as posting or sharing comments, photos, and videos (referred to as “User Content”).

I give NULASTIN permission to use my User Content as follows: I grant to NULASTIN, its affiliates and its third party vendors a license to reproduce, display, perform, distribute, create derivative works from and otherwise use my User Content in connection with the Assets and for other NULASTIN marketing purposes, including without limitation in NULASTIN advertising, email and other customer communications. NULASTIN may display advertisements in connection with my User Content or on pages where my User Content may be viewed by me or others, and NULASTIN may use my User Content to advertise and promote NULASTIN. Our license to your User Content is non-exclusive, meaning I may use the User Content for my own purposes. NULASTIN’s license to my User Content is perpetual, non-revocable and royalty free, meaning NULASTIN does not owe me anything else in connection with NULASTIN’s use of my User Content. NULASTIN may exercise our rights anywhere in the world. 

I promise that:

• I own all rights to my User Content or, alternatively, that you have the right to give NULASTIN the rights described above; and

• My User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.

When User Content is displayed as detailed above, your social media handle may be displayed and your image will be displayed as detailed above. NULASTIN collects and processes this information as necessary for the performance of this contract between us.
